Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Competition and Consumer Act 2010 (Cth) Schedule 2 (the Australian Consumer Law) that cannot lawfully be excluded.
Goods are supplied by The Black Stuff (Australia) Pty Ltd (ABN 56 087 365 893) of 833 Topaz Road, Glen Allyn QLD 4885 (we, us, our). These terms apply to every sale unless we have signed a separate written agreement with you, in which case that agreement prevails to the extent of any inconsistency.
The Black Stuff is a naturally occurring humate used as a soil conditioner and plant bio-stimulant. It is screened and is otherwise unprocessed.
It is not a fertiliser and it is not a registered agricultural chemical product under the Agricultural and Veterinary Chemicals Code Act 1994 (Cth). Nothing on this site, in our literature, or in anything said by us is a representation that it controls, prevents, treats or cures any plant disease, pest or disorder.
It is a natural material won from a single deposit. Composition varies between sections of the deposit and between batches. The certificate of analysis supplied with a delivery relates to that batch. Published typical analyses are indicative, not a specification or warranty of any particular result.
Refer to the Safety Data Sheet before handling. The product is acidic at approximately pH 4.5 and must never be applied directly onto plants.

Ex factory means the price is for the goods loaded at Glen Allyn. Freight, insurance and site access are your responsibility unless we agree otherwise in writing.
Prices may change without notice. The price that applies is the price current when we accept your order, or the price stated in a written quotation still within its validity period. Quotations are valid for 30 days unless stated otherwise.
GST is payable on all supplies made in Australia in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth). A tax invoice is issued with each sale.
Your order is an offer to buy. A contract is formed only when we accept it, by confirming the order or by despatching the goods. We may decline any order.
If a price, quantity or description is listed in error we may cancel the order even after it is confirmed, and will refund you in full.
Pail orders are paid in full at checkout. Bulk orders are paid as set out in the quotation or invoice.
Bulk quantities are measured by volume in cubic metres, loose. The Black Stuff is supplied moist and its bulk density varies with moisture content — approximately 1.05 to 1.10 t/m³ as won, and as low as 0.8 to 0.9 t/m³ when dried. Where an order is expressed in tonnes, conversion is approximate. This variation does not affect the efficacy of the product.
Risk in the goods passes to you on loading at Glen Allyn, or on delivery to the carrier, whichever is earlier.
Title does not pass until we have received payment in full. Until then you hold the goods as bailee, must keep them identifiable, and we may retake possession. We may register a security interest in respect of these terms under the Personal Property Securities Act 2009 (Cth), and you agree to do anything reasonably required to enable us to do so.
Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.
Application rates and methods published by us are starting points based on trial and field experience. Soil type, climate, existing nutrition programme, irrigation, timing and crop all affect the outcome. You are responsible for satisfying yourself that the product is suitable for your intended use, and we recommend you obtain your own agronomic advice and current soil tests.
To the extent permitted by law, and except in respect of goods of a kind ordinarily acquired for personal, domestic or household use or consumption, our liability for a failure to comply with a consumer guarantee is limited, at our option, to replacing the goods, supplying equivalent goods, or paying the cost of doing so — as permitted by section 64A of the Australian Consumer Law.
To the extent permitted by law we are not liable for indirect or consequential loss, including loss of profit, loss of production or loss of opportunity.
We will accept a return where required by the Australian Consumer Law, and will meet the cost of return in those circumstances.
We do not otherwise accept returns of bulk product once it has been loaded or delivered, because it cannot be re-screened or resold after it has left our control. Unopened pails may be returned within 14 days at your cost by prior arrangement.
If goods arrive damaged or are not what you ordered, tell us within 7 days of delivery on 1300 082 011 or at info@theblackstuff.com.au, and keep the packaging.
The Grower Assistance Package is vendor finance offered by us, at our discretion, to ABN holders acquiring the product wholly or predominantly for business purposes. It is not consumer credit and is not regulated by the National Consumer Credit Protection Act 2009 (Cth). Terms are set out in a separate written agreement, which prevails over these terms.

These terms are governed by the law of Queensland. You and we submit to the non-exclusive jurisdiction of the courts of Queensland and the courts entitled to hear appeals from them.
We may change these terms. The version that applies to your order is the version published when we accept that order.
